Bylaws

Like most organizations, the Mahncke Park Neighborhood Association has a set of Bylaws that govern the group. Our Bylaws were last amended on 21 October, 1997 by the General Membership. Mahncke Park Neighborhood Association Organizational Bylaws.

Name

The name of this organization shall be the Mahncke Park Neighborhood Association.

Office

The Association's address shall be Box 6544, Alamo Heights Station, San Antonio, Texas, 78209, and may be changed at the discretion of the Board of Directors.

Boundaries

The Association shall be bounded on the North by Burr Road; on the South by Fort Sam Houston and Brackenridge Avenue; on the East by the San Antonio Country Club; and on the West by Brackenridge Park.

Purpose

The general purpose of the Mahncke Park Neighborhood Association is the protection, preservation and development of Mahncke Park and its surrounding neighborhood in all of its historical, physical, cultural and social aspects. Further, the Association will provide a forum for the residents of the Mahncke Park area to express themselves in areas of mutual and city-wide concern with an emphasis on active participation. The Mahncke Park Neighborhood Association hopes to achieve these goals by:

  • Promoting a spirit of involvement and cooperation among the various members of our community;
  • Encouraging residents, landlords and commercial establishments alike to maintain and improve their property to the benefit of the total community;
  • Evaluating the various needs of our community and addressing ourselves to them;
  • Providing a clearinghouse for exchange of cultural, historical, social and service information concerning our area;
  • Encouraging the city to maintain properly the areas under its responsibility as well as cooperating with the city in the maintenance and enhancement of Mahncke Park and other open spaces;
  • Maintaining an active interest and participation in city projects and programs with potential impact on our area and advising residents of current programs established to be of assistance to communities such as our own;
  • Fostering a sense of pride in our community and thereby improving its overall image and condition.

Policy

This organization will seek the active participation of all persons within its boundaries.

This organization shall never be operated to the primary purpose of profit, and no part of its net earnings or membership fees shall be used to the benefit of private individuals.

No money shall be paid to support any political campaign, and this organization shall be apolitical in nature.

Membership

Membership may be held by any adult member of a dues-paying household, within the Association's boundaries, or by any dues-paying individual or business owning property and/or operating a business within the Association's boundaries. A household shall be defined as having two voting members maximum per membership and four voting adult members maximum per address. Names and addresses of voting members must appear on Association records. Nonresident property owners may cast only one vote, even if their property is jointly or severally owned and even if more than one piece of property is owned within the neighborhood. A business may cast only one vote, even if the business is jointly or severally owned and regardless of the number of employees of said business. Adult resident property owners may vote from only one household, even if they own more than one property within the Association's boundaries. Only members of the Association may hold office in the Association. There shall be no voting by proxy.

Dues

Dues shall be paid in an amount set forth in the standing rules. Dues are to be paid by January thirty first of each year for the year to follow. Dues will apply to the calendar year in which they are paid. New members, who pay their membership dues from the first of October through the end of December of any given year, will have those membership dues applied to the following entire calendar year.

Meetings

Regular general membership meetings shall be held on the date specified in the standing rules and announced in the monthly meetings and newsletter. The Board of Directors may cancel a monthly meeting if circumstances warrant.

  • All meetings are open to the public. A quorum shall be 10% of the Association's membership.
  • Proceedings are governed by Robert's Rues of Order on the occasion that general politeness fails.
  • No notice of annual or regular meetings shall be required.

Board of Directors

Only those who have been members of the Association for at least six months and are current in dues payments are eligible for nomination to the Board of Directors.

The Board is comprised of seven elected directors who serve without pay. No more than three may be non-property owners.

The Board shall supervise the affairs of the Association in accordance with the stated purposes and policies of the organization.

The Board shall elect four officers from its membership: a First Chairperson, a Second Chairperson; a Secretary; and a Treasurer.

In the case of a vacancy on the Board, the First Chairperson shall appoint a new member who shall finish out the term.

The Board shall meet monthly at a time and place selected by the First Chairperson to discuss the Association's business and to set an agenda for the following general membership meeting. This meeting shall be open to interested members of the Association.

Special meetings may be called by the First Chairperson or by any four directors.

Four directors constitute a quorum but must always include the First Chairperson or the Second Chairperson.

Absences from three consecutive Board meetings shall constitute a resignation unless the Board of directors judges there are extenuating circumstances.

Board members are ex officio members of the standing committees. The Board shall have the duty and responsibility to act on behalf of the Association regarding matters or issues of concern to the Association and neighborhood. Actions by the Board shall require a majority vote of Board members. Decisions made, and actions taken by the Board shall be announced in summary form to the general membership at the next-scheduled general meeting and shall be published in summary form in the next-scheduled newsletter. A general vote to ratify, change or overturn any decision(s) made or action taken by the Board may be requested by any seven (7) members of the Association in attendance at a duly convened general meeting. Such a vote shall be held in accordance with the procedures employed to amend these bylaws, namely, printed in the next-scheduled newsletter and voted on at the next-scheduled general meeting.

The term of office for Board members shall be one year. No director shall serve more than two consecutive terms.

Duties

The First Chairperson shall:
  1. Be the only spokesperson for the organization and may appoint a proxy.
  2. Designate a Board member to preside at each general membership meeting on a rotating basis.
  3. Shall propose a slate of chairpersons for the standing and special committees for approval by the Directors.
The Second Chairperson shall:
  1. Perform the duties of the First Chairperson in the absence of the First Chairperson.
  2. Become the First Chairperson for the unexpired term in case of resignation or incapacity.
The Secretary shall:
  1. Take and record accurate minutes of the proceedings of all meetings of the Association and of the Board of Directors.
  2. Preserve in files all records and letters of value to the Association.
  3. Conduct the correspondence of the Association.
  4. Keep a list of the names, addresses, and telephone numbers of area residents, landlords, and anyone doing business in the area, including all interested parties.
  5. Maintain a membership list and establish the presence or absence of a quorum for business.
  6. The Secretary may delegate any of these duties with the approval of the First Chairperson.
The Treasurer shall:
  1. Have charge of all Association funds and shall report on them at each meeting.
  2. Disburse funds with the First Chairperson's approval.
  3. Keep an itemized and complete record of all receipts and expenditures in a permanent file.

No officer shall serve more than two consecutive terms.

Each officer shall deliver to the succeeding officer all records, books, papers, and other property belonging to the Association immediately after retiring from office.

Each officer shall orient the succeeding officer on the duties and business of that office.

Nominations and Elections

At the October meeting, nominations shall be made by a committee consisting of two Board members not seeking re-election and selected by the Board, plus three members selected by the general membership at the September general meeting. Additional nominations may be made at the time of the election.

Directors shall be elected by a simple majority of the quorum at the November meeting for a term of one year. No notice of meetings shall be required.

Standing and Special Committees The standing committees shall include:

  1. The Public Relations and Membership Committee shall be responsible for increasing the Association's membership and publicizing Association events, to include the production of a monthly newsletter.
  2. The Mahncke Park Fair Committee shall be responsible for all activities connected with the annual fundraising event.
  3. The Program Committee shall be responsible for the monthly general membership meeting programs.
  4. The History and Research Committee shall be responsible for compiling and recording significant historic events about the Mahncke Park area. The committee shall also compile and bring to the attention of the Association any pertinent facts relating to the neighborhood movement in the United States.
  5. The Neighborhood Concerns Committee shall identify and seek to remedy the internal problems of the Mahncke Park Area.
  6. The Block Captain Committee shall consist of area captains who shall organize and maintain a network of Block Captains for the timely delivery of newsletters and for other purposes.

The Board may form such committees, select members and approve chairpersons. Special committees may be formed by the general membership. Committee members serve at their own consent. Before a committee may represent the Association, it must have the approval of the Board.

The First Chairperson may appoint permanent proxies to represent the Association at meetings of external organizational bodies which involve the Association.

The First Chairperson shall present a charge to each standing committee outlining the goals for that year after the First Chairperson has taken suggestions from the first general membership meeting of that year's term of office.

Amendment and Dissolution

An amendment in writing may be submitted by any member of the Association to the Board for consideration. The Board will then report on the proposed amendment and present it to the general membership. The proposed amendment shall be presented and discussed at the next general membership meeting and voted on at the following general meeting.

Dissolution shall be proposed as an amendment and shall follow the same procedure.

Upon dissolution, the Association's remaining assets shall be donated to a tax exempt, nonprofit organization selected by the Board of Directors, and all records and research shall be presented to the Daughters of the Republic of Texas Library.

The dissolution shall be publicly announced.
